A longtime Wendy's investor wants to take the fast-food chain off the stock market, Fox Business reports.

The offer. Trian Fund Management, Nelson Peltz's hedge fund, led a group that bid $7.35 a share in cash, roughly $1.4 billion. That is about a 20% premium over Wendy's $1.2 billion value at Tuesday's close. Fox Business confirmed the offer, which was disclosed in a filing Wednesday. The Wall Street Journal reported it first. The group also includes restaurant operator Flynn Group, BlueFive Capital and Sixth Street Partners.

The market reaction. Wendy's shares are down about 68% over five years. The stock rose nearly 17% Wednesday morning.

The argument. In a letter, the group said Wendy's faces "significant pressures on the U.S. consumer, economic uncertainty, persistent commodity inflation and intensifying competition," especially in burgers. It said the business needs major capital investment to pay down debt and reverse weak system performance, and that the alternative to a sale is "continued exposure to market volatility" ahead of approaching debt maturities. "We believe private ownership is the better path," it wrote, offering "patient, long-duration capital."

Context. Fox Business has also reported that Wendy's lost its place as the second-largest burger chain after a six-year run, that a major franchisee filed for bankruptcy, and that the company plans to close hundreds of restaurants.

Note for readers: this is an offer, not a done deal. The filing does not say whether Wendy's board has accepted it.
